REalloys Inc. (NASDAQ: ALOY) announced a non-binding memorandum of understanding with U.S. Critical Materials Corp. to establish a framework for securing up to 10% offtake from the Sheep Creek rare earth project in Montana. The agreement represents a strategic step toward domestic supply chain security for heavy rare earth elements essential to U.S. defense systems.
The Sheep Creek deposit, averaging approximately 9% total rare earth oxides across over 7,000 acres, contains confirmed dysprosium and terbium. These elements are critical for high-performance permanent magnets used in F-35 fighter aircraft, missile guidance systems, radar platforms, and other advanced defense applications. Independent verification by Activation Laboratories and Idaho National Laboratory supports the deposit's quality and strategic significance.
This partnership addresses growing concerns about U.S. dependence on foreign sources for critical materials. With procurement restrictions on Chinese-sourced rare earths taking full effect in 2027, the REalloys-USCM collaboration presents a domestic alternative that meets defense procurement requirements. The MOU establishes a framework for potential strategic equity investment, joint pursuit of government financing, and coordinated government relations, presenting Congress and the executive branch with a unified supply chain narrative built on zero Chinese involvement.
"While others rely on a single source for their rare earth feedstock, REalloys is executing a fundamentally different strategy – partnering with the highest-grade developers across allied nations to build a diversified supply network specifically designed to counteract Chinese dominance," said Lipi Sternheim, Chief Executive Officer of REalloys. The company's approach focuses on identifying strategic assets that integrate with its advanced midstream and downstream ecosystem to fortify supply chain security for protected markets.
Harvey Kaye, Executive Chairman of U.S. Critical Materials Corp., emphasized the national security implications: "Sheep Creek is America's rare earth answer to Chinese supply dominance. The United States cannot claim critical mineral sovereignty while depending on foreign adversaries for the heavy rare earths that guide our missiles, power our fighter jets, and drive every advanced defense platform in our arsenal."
The partnership connects the highest-grade domestic rare earth deposit with REalloys' processing capabilities, creating what Kaye described as "what national security looks like in practice." REalloys operates downstream manufacturing facilities in Euclid, Ohio, serving federal agencies including the Department of Defense, Department of Energy, and NASA, along with the broader Defense Industrial Base.
Under the MOU, the parties will advance metallurgical test work, optimize heavy rare earth element processing flowsheets, and negotiate a definitive long-term offtake agreement, with reasonable efforts to execute within one year. This collaboration represents a significant development in the effort to establish a complete domestic rare earth supply chain, from mining through processing to manufacturing.
The strategic importance extends beyond immediate defense applications. As the U.S. seeks to reduce dependence on foreign critical minerals, partnerships like this one demonstrate how private industry can collaborate to address national security concerns while supporting advanced manufacturing and clean energy sectors that also rely on rare earth elements.
