Datavault AI Inc. (NASDAQ: DVLT) has announced a definitive agreement to acquire 100% of CyberCatch Holdings (TSX.V: CYBE) (OTCQB: CYBHF) for $94.5 million in cash, or $3.53 per share, through a court-approved plan of arrangement. The proposed acquisition is expected to integrate CyberCatch’s patented, AI-enabled continuous cybersecurity compliance and risk mitigation platform into Datavault AI’s Quantum Private Network (“QPN”) GPU ecosystem. Subject to customary board, stock exchange, regulatory and shareholder approvals, CyberCatch is expected to operate as a Datavault AI subsidiary from San Diego, with founder, Chairman and CEO Sai Huda serving as president of the subsidiary.
CyberCatch’s platform uses generative and agentic AI to continuously assess cybersecurity controls, conduct penetration testing and measure cyber risk across regulatory and security frameworks including NIST CSF 2.0, NIST 800-171, CMMC 2.0, ISO 27001, HIPAA and PCI DSS. Following closing, Datavault AI expects to deploy CyberCatch as the cybersecurity and continuous-compliance layer across its existing technology suite, including DataValue (R), DataScore (R) and Information Data Exchange (R) (“IDE (R)”), as well as its Acoustic Sciences technologies and deployments across regulated industries.
This acquisition underscores the growing importance of integrating cybersecurity into AI-driven platforms. As businesses increasingly rely on AI and data monetization, the need for robust, continuous compliance and risk mitigation becomes critical, especially in sectors like healthcare, finance, and government contracting where regulatory requirements are stringent. By embedding CyberCatch’s capabilities, Datavault AI aims to offer a comprehensive solution that not only leverages high-performance computing and data valuation but also ensures that these operations are secure and compliant.
Datavault AI is leading the way in AI-driven data experiences, valuation and monetization of assets in the Web 3.0 environment. The company’s cloud-based platform provides comprehensive solutions with a collaborative focus in its Acoustic Sciences and Data Sciences divisions. The Acoustic Sciences division features WiSA(R), ADIO(R) and Sumerian(R) patented technologies and industry-first foundational spatial and multichannel wireless, high-definition sound transmission technologies with intellectual property covering audio timing, synchronization and multi-channel interference cancellation. The Data Science division leverages the power of Web 3.0 and high-performance computing to provide solutions for experiential data perception, valuation and secure monetization.
The integration of CyberCatch is expected to enhance Datavault AI’s offerings for regulated industries, including sports & entertainment, events & venues, biotech, education, fintech, real estate, healthcare, and energy. By adding a continuous cybersecurity compliance layer, Datavault AI can provide its clients with greater assurance that their data and AI-driven operations meet evolving security and regulatory standards. This move may also position the company to better compete in markets where cybersecurity is a top priority, potentially expanding its customer base and strengthening its value proposition.
For investors, this acquisition signals Datavault AI’s commitment to building a more secure and compliant AI ecosystem. The all-cash transaction reflects the company’s confidence in its growth strategy and its willingness to invest in critical capabilities. As cyber threats continue to evolve, companies that can seamlessly integrate security into their AI platforms may gain a competitive edge. Datavault AI’s move could set a precedent for other technology firms to follow, highlighting the importance of cybersecurity in the AI era.
For the broader industry, this acquisition underscores the convergence of AI and cybersecurity. As AI becomes more pervasive, ensuring its safe and compliant use is paramount. The combination of Datavault AI’s data monetization and acoustic technologies with CyberCatch’s AI-driven compliance and risk mitigation could lead to more holistic solutions that address both performance and security. This may encourage further innovation and consolidation in the tech sector as companies seek to offer end-to-end solutions that meet the complex needs of modern businesses.
