Enapter AG (ISIN: DE000A255G02) has launched a cash capital increase with subscription rights for shareholders, offering up to 13,017,479 new no-par value bearer shares at a subscription price of EUR 1.00 per share. The gross proceeds could reach up to EUR 13,017,479.00. Shareholders can subscribe until 18 November 2026, with a subscription ratio of 2:1, meaning two existing shares entitle the holder to subscribe for one new share. Over-subscription is permitted, though exchange trading of subscription rights is not planned. The new shares will be included in trading on the regulated market of the Frankfurt Stock Exchange (General Standard) following admission.
A backstop agreement has been concluded with RS Energy Technology Limited, Hong Kong, part of the Runshihua Group. This strategic investor has committed to subscribe for new shares not placed in the subscription offer, including the over-subscription offer, up to EUR 12 million, but not exceeding a 25% minus one share stake in the share capital after completion. The net proceeds will be used substantially to repay existing liabilities and otherwise to finance working capital.
Dr Jürgen Laakmann, CEO of Enapter AG, stated: “This capital measure is a decisive building block in completing our strategic realignment towards an asset-light business model with partner-based production in China. We are all the more pleased to have won the Runshihua Group as a strategic investor, whose financial commitment and hydrogen expertise make this transformation of our company possible. Together, we can now successfully continue along the path we have taken.”
The announcement matters for several reasons. Enapter is a global greentech company that develops and supplies AEM electrolysers for green hydrogen production, with thousands of units already in use at more than 360 customers in over 55 countries. Its patented anion exchange membrane technology does not rely on expensive and rare raw materials such as iridium, and its modular design enables efficient, scalable production of green hydrogen, including where solar and wind power fluctuate. The capital increase, therefore, supports the company’s shift to an asset-light model with partner-based manufacturing in China, which could lower capital intensity and accelerate deployment of its electrolysers.
The involvement of the Runshihua Group as a strategic investor provides both financial backing and hydrogen expertise, potentially strengthening Enapter’s position in the growing green hydrogen market. For shareholders, the subscription rights offer a chance to participate at EUR 1.00 per share, while the backstop reduces the risk of a failed capital raise. The repayment of liabilities and injection of working capital may improve the company’s financial stability.
