GeoVax Secures $1 Million Revolving Loan and Overhauls Board with Lender-Nominated Directors

GeoVax Labs, Inc. (Nasdaq: GOVX), a clinical-stage biotechnology company developing vaccines and immunotherapies for infectious diseases and cancer, announced on October 26, 2026, that it has entered into an unsecured $1,000,000 Revolving Loan Agreement dated October 23, 2026, with Bowery Consulting Group Inc. The financing, reported via NEWMEDIAWIRE, provides the company with working capital but also brings significant governance changes.

The revolving loan facility allows advances of up to $1,000,000, subject to the lender’s approval. The loan bears interest at 12% per annum and matures 12 months from issuance. Alongside the financing, five directors—Randal Chase, Dean Kollintzas, Nicole Lemerond, Jayne Morgan, and John Spencer, Jr.—resigned from the board. Steven Brown, Tyler O’Brien, and Manpreet Uppal were appointed as directors, each nominated by the lender pursuant to the loan agreement. The board now consists of five directors, and the new appointees will serve until the earlier of the loan’s full repayment or their resignation under the agreement’s terms.

The board determined that each newly appointed director meets SEC and Nasdaq independence standards. O’Brien and Uppal will join the Audit Committee alongside Dr. Robert McNally. David A. Dodd, Chairman and CEO, said, “Securing this financing is an important achievement for GeoVax, reinforcing our balance sheet and providing the working capital needed to support our operations.” He welcomed the new directors, citing their diverse experience and leadership, and expressed appreciation to departing members.

For readers, the loan eases near-term liquidity concerns but hands substantial board influence to the lender. The lender’s approval requirement for advances and its right to nominate directors could shape strategic decisions, including the advancement of GeoVax’s GEO-MVA vaccine program for mpox and smallpox, which the company plans to take into a pivotal Phase 3 trial in late 2026. The 12% interest rate also signals a relatively high cost of capital, reflecting the risks inherent in clinical-stage biotech financing.

GeoVax’s oncology program includes Gedeptin®, a gene-directed enzyme prodrug therapy that has completed a Phase 1/2 trial in advanced head and neck cancer. The company maintains a global intellectual property portfolio and continues to evaluate partnerships. Further details will be disclosed in a Form 8-K filing with the Securities and Exchange Commission. For more information, visit www.geovax.com.
