Greenland Mines (NASDAQ: GRML) is advancing its transformation into a focused rare earths and critical minerals company with a series of corporate milestones, including a planned spin-off of its biotechnology division in the fourth quarter of 2026, formal Nasdaq compliance approval, and completion of the Sarfartoq project acquisition.

The company announced on September 8, 2026, that Nasdaq has formally approved its application related to the March 2026 transaction, resolving prior deficiencies and bringing Greenland Mines into full compliance with listing requirements. This approval marks a significant step in the company's corporate restructuring.

Central to its strategic shift is the acquisition of the Sarfartoq project, completed on September 1 following approval by the Government of Greenland. The project is a neodymium-praseodymium (NdPr) rare earths operation located in southwest Greenland. An independent S-K 1300 Initial Assessment for the ST1 deposit estimated a high-case pre-tax net present value of approximately $2.05 billion and a pre-tax internal rate of return of 118.6%.

According to the assessment, planned annual NdPr oxide production from ST1 would equal approximately 34% of current NdPr oxide refining outside China, based on 2025 consumption levels, during each of the project's nine scheduled operating years. This positions the project as a potentially significant source of rare earth magnet materials outside the dominant Chinese supply chain.

The company is also reshaping its board to align with its strategic direction. Riad El-Dada and Dr. Shalom Hirschman are stepping down, and Jason Hawkins, a capital markets veteran, is joining the board as Greenland Mines advances Sarfartoq and its Skaergaard palladium-gold-platinum project.

These developments underscore Greenland Mines' commitment to building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. The company's broader vision is the North Atlantic Critical Metals Corridor, linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.

The biotech spin-off, which will include Klotho's KLTO-202 primary indication for ALS, allows the company to sharpen its focus on mining and critical minerals. The spin-off is expected to unlock value for shareholders by separating the high-risk, high-reward biotech operations from the more established mining assets.

The Sarfartoq project's high NPV and IRR, combined with the Nasdaq compliance, provide a strong foundation for the company's future growth.
