Greenland Mines Ltd (NASDAQ: GRML) has announced a series of corporate milestones as it transitions into a focused rare earths and critical minerals company, including plans to spin off its biotechnology division in the fourth quarter of 2026. The company also confirmed that Nasdaq has formally approved its application relating to the March 2026 transaction, resolving prior deficiencies and bringing the company into full compliance with listing requirements.

The announcements come as Greenland Mines completed its acquisition of the Sarfartoq project on Sept. 1, following approval by the Government of Greenland. An independent S-K 1300 Initial Assessment for the ST1 deposit estimated a high-case pre-tax net present value of approximately $2.05 billion and a pre-tax internal rate of return of 118.6%. The project is expected to produce neodymium-praseodymium (NdPr) oxide, a key component in permanent magnets used in electric vehicles, wind turbines, and other clean energy technologies.

The planned annual NdPr oxide production from ST1 would equal approximately 34% of current NdPr oxide refining outside China, based on 2025 consumption levels, during each of the project's nine scheduled operating years. This positions Greenland Mines as a potential significant player in the non-Chinese rare earth supply chain, which is of strategic importance given China's dominance in rare earth processing.

In addition to the Sarfartoq project, Greenland Mines is advancing its Skaergaard palladium-gold-platinum project in southeast Greenland. The company is also reshaping its board, with Riad El-Dada and Dr. Shalom Hirschman stepping down and capital markets veteran Jason Hawkins joining as Greenland Mines advances its projects.

The spin-off of the biotech division, which includes Klotho's KLTO-202 primary indication for ALS, will allow the company to focus entirely on its mining operations. This strategic shift is aimed at unlocking value for shareholders by concentrating on the growing demand for critical minerals, particularly rare earth elements essential for the global transition to clean energy.

The acquisition of Sarfartoq and the positive initial assessment underscore the company's commitment to developing a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. Greenland Mines' broader vision includes a North Atlantic Critical Metals Corridor linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.

These developments are significant for investors and the industry as they highlight the increasing importance of diversifying the supply chain for critical minerals. With the global push toward electrification and renewable energy, securing a stable supply of rare earth elements outside China is a strategic priority for many countries.
