Humacyte Inc. (NASDAQ: HUMA), a commercial-stage biotechnology platform company, announced the pricing of an underwritten public offering of 47.6 million shares of common stock at $1.05 per share, with expected gross proceeds of approximately $50 million before underwriting discounts, commissions and offering expenses. The company also granted underwriters a 30-day option to purchase up to an additional 7.1 million shares at the public offering price. The offering is expected to close on or about June 12, 2026, subject to customary closing conditions.

Humacyte intends to use the net proceeds to support commercialization of Symvess, its first FDA-approved product, which commenced U.S. commercial launch in the first quarter of 2025. Symvess is a universally implantable, bioengineered human tissue for extremity vascular trauma. Additionally, the company plans to advance a planned Biologics License Application (BLA) supplement filing for a hemodialysis indication, fund development of pipeline candidates, and provide working capital for general corporate purposes.

The offering is being led by Barclays, BTIG and Titan Partners, a division of American Capital Partners, as joint book-running managers. The company's focus on bioengineered human tissues positions it at the forefront of regenerative medicine, with potential implications for patients requiring vascular access for hemodialysis or suffering from vascular trauma.
