JOST to Divest Hyva's Tipper Body Business in India to Belrise Industries

JOST Werke SE, a leading global supplier of safety-critical systems for the commercial vehicle industry, has signed a business transfer agreement to sell its Indian tipper body operations to Belrise Industries Limited. The transaction, anticipated to close in the fourth quarter of 2026, is part of JOST's ongoing strategy to refine its portfolio following the acquisition of Hyva in February 2025.

The divestment includes Hyva's tipper body business in India, which generates annual revenue of EUR 30 to EUR 40 million and an EBITDA of approximately EUR 1 million. The agreed purchase price is about EUR 5 million. JOST will continue to focus on its core competencies in tipping cylinders, hydraulic components, and digital tipping systems under the Hyva brand.

Joachim Dürr, CEO of JOST Werke SE, stated, "This divestment is a further step in aligning our portfolio with our long-term strategy for profitable growth. It allows us to focus even more strongly on the core hydraulic and tipping solutions offered under the Hyva brand and to direct our R&D capabilities toward mission-critical systems."

Belrise Industries, a prominent manufacturing company in India, sees this acquisition as a strategic fit. Mr. Shrikant Badve, Managing Director of Belrise Industries, commented, "We are pleased to welcome Hyva's India Tipper Body Business into the Belrise family. The business has established a strong reputation in the Indian commercial vehicle market and represents a compelling strategic fit for Belrise, complementing our manufacturing and engineering capabilities. We are committed to investing in its future growth while ensuring seamless continuity for customers, employees, suppliers, and business partners throughout the transition, in collaboration with JOST."

This divestment aligns with JOST's broader strategy to streamline its operations and enhance operational flexibility in India. By lowering vertical integration, JOST aims to improve efficiency and concentrate on high-growth areas within its product portfolio. The company confirmed its outlook for fiscal year 2026, noting that the divestment will not have a material impact on revenue and earnings in the current fiscal year.

The transaction is subject to customary regulatory approvals and conditions. JOST's global presence includes sales and production sites in more than 35 countries, with operations on six continents. The company employs over 6,500 staff worldwide and is listed on the Frankfurt Stock Exchange. For more information, visit JOST's website.

This move is expected to allow JOST to dedicate more resources to innovation in hydraulic and tipping systems, potentially benefiting customers with advanced, mission-critical solutions. For Belrise, the acquisition strengthens its position in the commercial vehicle market, offering opportunities for growth and expansion in India's robust automotive sector.
