Nocera Acquires Controlling Interest in Taiwan Memory Distributor to Advance AI Infrastructure Strategy

Nocera, Inc. (NASDAQ: NCRA) announced it has acquired a 30% controlling interest in Taiwan-based QMAX Technology Co. Ltd. through a variable interest entity structure, issuing 300,000 restricted shares valued at approximately $408,000. QMAX is an authorized distribution channel for Micron/Crucial memory products, providing Nocera with established vendor authorizations, procurement capabilities and distribution relationships for DRAM modules, server memory and solid-state storage.

The company said the transaction supports its transformation into Nocera Holdings, a diversified technology-focused holding company targeting opportunities across artificial intelligence, AI infrastructure, data centers, robotics, biotech, blockchain and digital assets. Management said the acquisition strengthens Nocera’s AI data center strategy by securing access to critical memory and storage components amid tightening global supply driven by AI demand.

QMAX generated approximately $1.36 million in fiscal 2025 revenue and provides an operating procurement and distribution platform serving customers across Taiwan’s technology sector. Nocera said it intends to leverage the business to support both its own planned AI data centers and third-party customers while continuing to pursue additional acquisitions and strategic partnerships aligned with its long-term AI infrastructure strategy.

The acquisition comes as global demand for AI infrastructure continues to surge, placing pressure on supply chains for key components like memory and storage. By securing a direct channel to Micron/Crucial products through QMAX, Nocera positions itself to better navigate supply constraints and potentially gain a cost advantage. This move could also enable Nocera to offer integrated solutions to data center operators, differentiating its offerings in a competitive market.

For investors, the transaction signals Nocera’s commitment to executing its transformation strategy and building tangible assets in the AI supply chain. The use of restricted shares rather than cash preserves capital for future acquisitions. However, the relatively small size of the investment ($408,000) and QMAX’s revenue ($1.36 million) suggest this is an initial step rather than a transformative deal. Nocera’s ability to scale the platform and integrate it with its broader AI infrastructure plans will be key to realizing value.

Nocera, Inc. is a Nevada corporation pursuing a strategic transformation into a diversified holding company focused on identifying and expanding opportunities across high-growth sectors including artificial intelligence, AI infrastructure, data centers, robotics, biotech, blockchain and digital assets. The company is focused on strategic acquisitions, partnerships, investments and operational platforms positioned to capitalize on emerging global technology trends. Leveraging international relationships and market access across Asia and other emerging global markets, Nocera Holdings seeks to build long-term shareholder value through scalable businesses, infrastructure opportunities and next-generation technologies shaping the future digital economy.
