Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing silicon solutions, announced that Silicon Catalyst Angels I, LLC (SCA) has made a direct strategic investment in the company as part of its recently completed private placement. The investment, made in the second tranche of the offering, positions SCA as the second strategically aligned semiconductor investor to back Edgewater's Spectrum Slicing and PrismIQ roadmap. Edgewater Chairman Brian Imrie also participated in the offering, extending his financial support and reinforcing leadership alignment with shareholders.

The private placement raised gross proceeds of $287,979.96 from the issuance of 4,799,666 units at a price of $0.06 per unit. Each unit consists of one common share and one warrant, with each warrant exercisable at $0.09 for two years. Combined with the first tranche, Edgewater has issued an aggregate of 11,955,545 units for total gross proceeds of $717,332.70. The securities issued in the second tranche are subject to a statutory hold period until January 9, 2027, and the closing is subject to final acceptance by the TSX Venture Exchange. Proceeds will be used for semiconductor design, engineering, and product development related to the Spectrum Slicing prototype, as well as general working capital.

Silicon Catalyst Angels, established in 2019, provides seed and Series A funding to companies within the Silicon Catalyst ecosystem. The group comprises experienced semiconductor executives, technologists, and investors who bring more than just capital to the table. Their involvement offers strategic relationships and industry insight, which are critical as Edgewater advances its technology from engineering to prototype validation and partner demonstrations.

Edgewater's relationship with Silicon Catalyst began in November 2024 when the company was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to over 500 industry experts, welcomed Silicon Catalyst COO Nick Kepler as a Board Observer, and unlocked several million dollars in in-kind design, fabrication, and commercialization resources. This latest investment deepens that relationship, providing aligned capital and semiconductor expertise at a pivotal time.

The timing of this investment is critical as the Wi-Fi industry transitions to Wi-Fi 7 and beyond, where devices operate in congested spectrum. Edgewater's Spectrum Slicing technology addresses these challenges by enabling multiple concurrent channels in a single band, delivering up to a 10x improvement in performance and 50% lower latency, even for legacy devices. With 26 patents granted and three AI-related patents pending, Edgewater's fabless model aims to transform the economics of Wi-Fi for service providers, OEMs, and enterprises.

The company plans to achieve important engineering and ecosystem milestones in the coming period, with an initial product release targeted for the first half of 2027. The strategic capital and expertise from Silicon Catalyst Angels are expected to accelerate Edgewater's progress toward commercialization, potentially impacting the broader Wi-Fi and semiconductor industries by improving connectivity in dense environments and reducing churn for service providers.
