Under the agreement, the investor will receive new unregistered warrants to purchase up to 11,395,256 shares of common stock in a private placement. These new warrants carry an exercise price of $0.64, are initially exercisable upon shareholder approval of the underlying shares, and expire five years from that approval date. The closing is anticipated on or about August 27, 2026, subject to customary conditions.

This strategic financing move provides GeoVax with immediate capital to advance its pipeline, including its lead program GEO-MVA, a Modified Vaccinia Ankara (MVA)-based vaccine targeting mpox and smallpox. The company plans to initiate a pivotal Phase 3 clinical trial in the second half of 2026 to address global needs for expanded orthopoxvirus vaccine supply and biodefense preparedness. Additionally, GeoVax is developing Gedeptin®, a gene-directed enzyme prodrug therapy designed to enhance immune checkpoint inhibitor activity, which has completed a Phase 1/2 trial in advanced head and neck cancer and is moving into combination strategies.

The offering is structured under an exemption from registration under Section 4(a)(2) of the Securities Act and Regulation D, meaning the securities cannot be offered or sold in the U.S. without registration or an applicable exemption. This approach allows the company to efficiently raise funds while maintaining compliance with securities regulations.
