MAX Power Mining Completes Homeland Transaction, Retains Upside Through Equity Stake

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has completed its previously announced strategic transaction with Homeland Critical Minerals Corp., following clearance from the Canadian Securities Exchange (CSE). The company sold its wholly owned subsidiary, MAX Power Resources LLC, which holds the Willcox Playa Lithium Project in Arizona, in exchange for 11 million common shares of Homeland, valued at approximately C$1.1 million. This stake represents just under 50% of Homeland’s outstanding shares, providing MAX Power continued exposure to the Willcox Project while allowing the company to focus on advancing its Natural Hydrogen strategy at the Lawson Complex and the broader Genesis Trend in Saskatchewan.

The transaction marks a strategic shift for MAX Power, which has been actively developing its natural hydrogen assets. The company’s Lawson Discovery near Central Butte, Saskatchewan, is recognized as Canada’s first-ever subsurface Natural Hydrogen system, confirmed through deep drilling with data validated by three independent labs. MAX Power has built dominant district-scale land positions across Saskatchewan, with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen.

By divesting the lithium project but retaining a significant equity interest in Homeland, MAX Power aims to unlock value from its lithium asset while preserving upside potential. The company stated that it may evaluate alternatives for its Homeland share position in the future, including a potential distribution of some or all shares to MAX Power shareholders, subject to applicable corporate, securities, and regulatory requirements. This move could provide direct benefits to shareholders if a distribution occurs.

The completion of this transaction aligns with MAX Power’s broader strategy of focusing on high-potential natural hydrogen exploration. The company is committed to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance. With the Willcox Playa Lithium Project now under Homeland’s ownership, MAX Power can concentrate its resources on advancing its natural hydrogen projects, which could play a significant role in the transition to decarbonization.

The Willcox Playa Lithium Project had been a key asset for MAX Power, highlighted by a 2024 diamond drilling discovery in southeast Arizona. However, the company’s decision to exchange it for an equity stake reflects a strategic pivot toward what it considers its core focus: natural hydrogen. The transaction also provides MAX Power with financial flexibility and reduces the risks associated with lithium development, while still allowing it to benefit from potential future success at Willcox through its Homeland shares.

Investors and industry observers will be watching how MAX Power manages its Homeland stake and whether it leads to a shareholder distribution. The company’s ability to execute on its natural hydrogen strategy will be critical, as the sector is still emerging. With a substantial land position in Saskatchewan and validated drilling results, MAX Power is positioning itself as a leader in the exploration of this clean energy resource.
