As consideration for the acquisition, Redwood issued up to 14,033,558 common shares at a deemed price of $2.98 per share. This includes 7,033,558 shares subject to staged escrow over 24 months, and up to 7 million additional shares held in milestone escrow tied to specified customer and revenue criteria. Additionally, the company issued 50,000 shares as an administrative fee and 100,000 shares as a finder's fee.
