Voyageur Pharmaceuticals Ltd. (TSX.V: VM) (OTC Pink: VYYRF) announced that it has achieved the first milestone under its non-dilutive Collaboration and Funding Agreement with Bayer AG, receiving a USD $1 million payment. The milestone was met after Voyageur submitted a complete feasibility work plan and timetable, which Bayer approved. This payment brings the total received from Bayer to USD $1.35 million out of the committed USD $2.35 million.
The agreement, dated February 10, 2026, is focused on developing a reliable North American source of high-purity iodine for use in contrast media drugs. Voyageur's Houston R&D team successfully demonstrated its proprietary patent-pending Mueller iodine extraction process, achieving laboratory production of 99.8% purity iodine from produced water in the Anadarko Basin. This technical validation allowed Bayer to advance the program and release the milestone payment.
The transportable pilot plant is nearing completion and is scheduled to begin field operations this fall. Once operational, the plant will provide field data for Fluor Corporation (NYSE: FLR) to complete a FEL-3 feasibility study. Fluor has been providing engineering, thermodynamic modeling, and project planning support. The FEL-3 study is expected to take approximately seven to nine months after the FEL-2 concept design phase, which is estimated to take four to five months. The remaining milestone payment of USD $1 million is scheduled to be released upon completion of the FEL-3 study.
The project proposes a staged production rollout starting with 200 tonnes per year of iodine, potentially expanding to 1,000 tonnes per year. If successful, Voyageur and Bayer may negotiate a long-term offtake supply agreement. A central manufacturing facility would process iodine concentrate into USP pharmaceutical grade iodine for contrast drug manufacturing.
Brent Willis, President and CEO of Voyageur, stated, "Achievement of this first milestone under our agreement with Bayer is an important step forward for Voyageur. It confirms that the feasibility work is advancing as planned and triggers the first major non-dilutive payment under the collaboration." He added that the capital is expected to accelerate Voyageur's iodine supply strategy and move closer to validating a reliable North American source of high-purity iodine.
This development is significant for the medical imaging industry, which relies heavily on imported iodine for contrast media. The global contrast media market is estimated at approximately USD $7.06 billion. By establishing a domestic supply, Voyageur aims to improve supply-chain security, reduce reliance on imports, and lower operating costs.
Voyageur's vertically integrated strategy also includes its Frances Creek barium project, which is intended to supply high-grade barium sulfate for barium-based contrast products. The company plans to leverage this project along with the iodine production to become a vertically integrated supplier in the radiology contrast media drug market, with the motto "From Earth to Bottle."
The company has received Health Canada licenses for five barium contrast products and intends to partner with third-party GMP manufacturers initially before transitioning to domestic manufacturing. The successful completion of the feasibility study is a critical step toward these goals, potentially leading to long-term supply agreements and expanded production capacity.
