Nano-X Imaging Ltd. (NASDAQ: NNOX), a company focused on transforming preventive healthcare through advanced medical imaging technology, has announced a registered direct offering expected to generate approximately $8 million in gross proceeds. The company has entered into a securities purchase agreement with a single long-term institutional investor, according to a press release.

The offering involves the sale of 8 million ordinary shares, or prefunded warrants in lieu thereof, along with warrants to purchase up to an additional 8 million ordinary shares. The combined purchase price is set at $1.00 per share and accompanying warrant. The warrants will have an exercise price of $1.15 per share, become exercisable six months after issuance, and expire five years after the closing of the offering.

The offering is expected to close on or about Aug. 7, 2026, subject to customary closing conditions. Nano-X stated that it intends to use the net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.

This capital raise comes as Nano-X continues to develop and commercialize its integrated medical imaging and healthcare services platform. The company’s ecosystem includes the Nanox.ARC, a cost-effective 3D multi-source digital tomosynthesis imaging system; Nanox.AI, a suite of AI-based algorithms for early detection of chronic diseases; Nanox.CLOUD, a cloud-based platform for data management and analytics; Nanox.MARKETPLACE and USARAD Holdings, offering teleradiology services; and Nanox Health IT, providing RIS, PACS, and other healthcare IT solutions.

By combining imaging hardware, AI, cloud infrastructure, and clinical expertise, Nano-X aims to lower barriers to adoption and improve access to preventive care worldwide. The new funding is expected to support these initiatives and bolster the company’s working capital position.
